COMMISSIONED WORK LICENCE

This Graphic Work is licensed under the KIK Commissioned Graphics Licence, Version 1.1.

KIK COMMISSIONED GRAPHICS LICENCE Version 1.1 – January 2025

This licence grants Clients the right to use commissioned design work while protecting the Author’s ownership. It ensures the Licensed Work is used for its intended purpose without resale, redistribution, or unauthorised modification.

DEFINITIONS

• “Licensed Work” refers to any commissioned graphic, illustration, logo, layout, or digital asset created by the Author under this agreement.

• “Author” refers to Klaudia K. (KIK Studio), the original creator of the Licensed Work.

• “Client” refers to the person or entity commissioning the Licensed Work.

• “Exclusive Work” refers to custom graphics (e.g. logos) created solely for one Client, which may not be resold by the Author.

• “Final Files” refers to the agreed deliverables supplied at the end of the project.

• “Working Files” refers to editable source files (e.g. Illustrator, Photoshop, or InDesign files).

PERMISSIONS & CONDITIONS

• The Client may use the Licensed Work worldwide, without time limits, for their own business or personal purposes.

• The Licensed Work must be used in full and as intended (e.g. web graphics for web, print files for print).

• The Licensed Work may not be sold, sublicensed, redistributed, or shared with third parties.

• The Licensed Work may not be altered, broken into parts, or repurposed into new works without written permission from the Author.

• Exclusive Works are for the Client only and will not be resold by the Author.

• The Client receives only the Final Files. Working Files remain the property of the Author and will only be provided for an additional fee, unless otherwise agreed in writing.

• The licence becomes valid only once full payment has been received.

OWNERSHIP & COPYRIGHT

• The Author retains full copyright over all Licensed Works and all preliminary materials (ideas, sketches, drafts). Only the final approved product is licensed to the Client.

• The Client receives a licence to use the Licensed Work but does not obtain copyright ownership.

• The licence is non-transferable. If the Client’s business is sold or transferred, a new licence agreement must be negotiated.

• The Author retains moral rights and must always be recognised as the creator of the Licensed Work.

PORTFOLIO USE

• The Author may display the Licensed Work in portfolios, social media, or promotional materials, unless otherwise agreed in writing.

FILE STORAGE

• The Author will store project files for one year after delivery. After this period, the Author is not responsible for maintaining backups.

THIRD-PARTY RESOURCES

• Stock images, fonts, or other third-party resources used in the creation of the Licensed Work are not included in the final files unless explicitly provided.

• When included, they are sourced under licences allowing commercial use. The Client remains responsible for compliance with third-party terms.

LIMITATION OF RESPONSIBILITY

• The Author is responsible solely for creating and delivering the Licensed Work.

• The Author is not liable for how the Client uses the Licensed Work.

• The Author does not endorse or take responsibility for the Client’s products, services, or activities.

• The Author does not provide legal defence and will not attend court proceedings on behalf of the Client, though may confirm authorship and creation dates if required.

TERMINATION

This licence becomes void if any of the above conditions are not met.

GOVERNING LAW

This licence is governed by the laws of Scotland, United Kingdom. Any disputes shall be handled under this jurisdiction.

TEMPLATE & SHOP ITEM LICENCE

This Graphic Work is licensed under the KIK Template & Shop Licence, Version 1.2.

KIK TEMPLATE & SHOP LICENCE Version 1.2 – August 2025

This licence governs the use of pre-made templates and shop items offered on a non-exclusive basis. It allows Clients to use the Licensed Work for commercial or personal projects, while preventing resale or redistribution.

DEFINITIONS

• “Licensed Work” refers to any template, digital asset, or pre-made graphic purchased through the Author’s shop.

• “Author” refers to Klaudia K. (KIK Studio), the creator of the Licensed Work.

• “Client” refers to the person or entity purchasing the licence.

• “Non-Exclusive Licence” means the same Licensed Work may be sold to multiple Clients.

• “Final Files” refers to the deliverables supplied with the purchase.

• “Editable Templates” refers to templates provided in formats that allow the Client to make changes themselves.

• “Personalised Templates” refers to templates where the Author inserts the Client’s details and only delivers final files.

• Template Types:

  • Editable Templates: Some templates are provided in editable formats (e.g., PSD, AI, Canva). Clients may edit these for personalisation but may not redistribute, resell, or claim them as original work. Some templates may have flattened layers or limited editing options.

  • Personalised Templates: In some cases, the Client may select a template and provide details for customisation. In such cases, the Author delivers only the final files (e.g., PDF, JPG); editable files are not included.

• Modifications for personalisation are allowed only within the limits of the template type, but derivative works may not be resold or redistributed.

• The licence becomes valid only once full payment has been received.
